To provide timely, cost effective, business friendly & quality legal & secretarial services to the Group and Board of Directors
JOB SUMMARY
- Legal Advisory/Opinion
- Legal Drafting
- Legal Review/Vetting
- Management and Control of Litigation Cases
- Management, Advancement and Control of Intellectual Property Assets
- Management & Organisation of AGM/EGM/BOD/BAC/BNRC & Management Meetings
- Management of Announcements & Corporate Disclosures to Bursa Malaysia.
- Management of Corporate Secretarial matters.
- Custodian Function of Statutory/Legal Documents
PRINCIPLE DUTIES / RESPONSIBILITIES
· Provision of legal advice to the senior management and the Board to ensure that all of the legal needs are met in a timely and professional manner and the commercial interests are protected from legal risks and liabilities
· Managing workloads and budget, supervising and managing internal and outside legal services to ensure full compliance with contractual and regulatory obligations
· Anticipating, identifying and articulating legal issues on various corporate and commercial matters to senior management and the Board and assisting in corporate/business strategies
· Conducting research, analyzing, negotiating and writing correspondence, legal opinions, contracts and reports
· Responsible for organizing Board meetings and reviewing of minutes of Board and Board Committee meetings and advising the Board on legal and secretarial matters including Bursa Malaysia Securities Berhad’s Main Market Listing Requirements, Companies Act 2016 and other relevant legislation and corporate governance
· Ensure the Group’s compliance with Bursa Malaysia Securities Berhad’s Main Market Listing Requirements, Companies Act 2016 and other relevant legislation
· Responsible for submission of statutory documents to SSM, preparation of minutes of Board
· Meetings and Extracts & Directors’ circular resolutions and updating of statutory records
· Responsible for organizing AGMs, EGMs and preparation of Annual Reports and Circulars to Shareholders
MAJOR CHALLENGES
· Multi-tasking and taking on other duties as assigned.
· Assignments to be completed within a very short time.
· Ability to work under pressure. Keep up with new accounting standards development
· Sound knowledge of business acumen
DIMENSIONS
Reporting to the CCO/Executive Director/Board of Directors. Managing the legal matters for operational subsidiaries.
