Job Summary:
The Chief Financial Officer (CFO) will be a strategic partner to the MD, BOD and executive leadership team, responsible for all financial and fiscal management aspects of company operations. This includes overseeing financial planning and analysis, budgeting, accounting, compliance, risk management, and funding strategies. The CFO will also lead the company's IPO readiness and execution process, ensuring financial transparency and compliance with regulatory requirements.
Key Responsibilities:
A. In achieving listing on the exchange board, Bursa Malaysia you are to assist the CEO, Managing Director, Chairman and Board of Directors in
- all major role in dealing with Initial Public Offering (IPO) consultants and legal advisors in the preparation and submission of the IPO application
- reviewing all corporate submission to the Securities Commission Malaysia for the IPO exercise
- ensuring timely submission of all relevant and necessary documents and information to the IPO consultants and legal advisors for the purpose of listing
- ensuring the success of the IPO exercise
B. Roadshow work for IPO and fund raising
- working closely with underwriters and executives taking part in the IPO roadshow work or any fund-raising exercises
- advice on selection of roadshows; traditional physical roadshow or new digital roadshow
- ensuring the selection of cities to visit, targeting the right investors group and information to include in the roadshow presentation is in order
- to prepare all possible answer for Q&A session following the presentation
- ensuring the success of the roadshow in determining the price of the company’s stock when IPO launches.
- ensuring and reviewing all necessary document such as investment paper/ door gift/ for roadshows are in order
C. Upon successful of the listing exercise, you are to assist in recognizes, manages listing all post IPO activities not limited to
- answer enquiries regarding to IPO applications and Bursa.
- working with other professional parties to ensure full compliance is met.
- maintains on-going relationships with all consultants.
- assist in all corporate matters with external stakeholders.
- carry-on due diligence and review of corporate governance arrangements
- liaising with advisers and accountants in drafting and reviewing of Prospectus, Annual Reports and other relevant documents
- Merger & Acquisition financial advisory work
- any other corporate finance activities
- any other tasks or duties assigned by Company from time to time.
D. Company Secretarial
- Liaising with company secretarial to ensure the company is in accordance with the Companies Act.
- Liaising with company secretarial on any announcement/ public disclosure of any material information to Bursa Malaysia as provided under the Listing Requirements
- Ensure the company’s statutory books and documents is maintained and updated properly.
- Ensure any changes in the company’s statutory information is updated Companies Commission of Malaysia (CCM, or “SSM) and Bursa Malaysia
- Liaising with company secretarial on Board of Directors meeting, Annual General Meeting
- Review minutes of Board of Directors meeting
E. Legal
- Review business agreements, contracts and other legal documents
- Assist on legal affairs of the Company to ensure Company operates smoothly and legally in accordance with local, state, and federal laws.
- Liaising with retainer lawyer on business agreements, contracts and other legal documents as required.
- Conduct legal due diligence on Merger & Acquisition transaction, supported by appointed lawyer as required.
- Review all shareholders agreements, management agreements, sales and purchase agreements for any Merger & Acquisition transaction
F. Internal Audit
- Responsible for the planning, compliance functions and direction of the internal auditor
- Oversees the development and implementation of a multi-year internal audit plan for the Group as required approved by Audit Committee
G. Internal Governance /ESG
- Implement appropriate internal work-flow policies and procedures (Standard Operation Procedure)
- Provide guidance and leadership to internal process and policies (Standard Operation Procedure) and work-flow management for corporate compliance.
- Carry out risk assessments with respective Head of Department and leads reporting and continuous improvement of risk management
- Ensure the policyholder understands the applicable policies, guidelines and, has the necessary commitment and capacity to manage social and environmental impacts and/or risks adequately.
- Monitor the effectiveness of implementation the appropriate Policies, Process, Procedures and Guides
- Support the Management in driving the education, communication, training, and implementation of the governance across the company in all operational areas, including its associated business activities, sub-contractors and supply chains, where relevant.
- Ensure all business associates undertake the compliance of S17A of the MACC Act.
- Maintain inspection records and investigates complaints and suspected violations.
- Act as a liaison between Compliance, Legal, Supply Chain and vendors.
- Support ESG activities with the various external parties and internal parties eg HODs, investor and customer requirements.
- Support roll-out of ESG strategies across all functions and business units
- Provide updates on ESG performance for ESG rating review purposes.
H. Business Development and ongoing projects
- review Feasibility Studies of any new projects
- preparation of proposal and resolution for any new projects to be approved by the BOD
- to coordinate and review new projects announcement to the investors and Bursa Malaysia
- sourcing of funding for any new projects
- review and coordinate weekly cashflow monitoring.

- working closely with all operation teams such as Project Management, Sales and Marketing, Sales Administrative and any other departments to cash flow planning
- attend project meeting, if necessary
- review cost tracking and progress with the operation team
- assist operation teams in any matters
I. New business opportunity
- explore opportunity of new business or investment
- review Feasibility Studies of any new business or investment
- undertake planning, due diligence of business opportunity and investment
- oversight any new business including business plan, budget and policies and management strategies to ensure the operation are efficient.
- assist in ensuring the success of the approved new business by the Board of Directors
- assist in developing and implement management strategies that improve a company's overall performance.
- ensuring the strategic decisions of the new business is align with the company's overall objectives, mission and vision
- recommend improvements in any new business activities to ensure effectiveness of the business operation
- review and monitoring budget vs actual of the new business and return of investment
J. Others
- Ensure accuracy of Group Project Report and Monitoring tax computation includes to provide best advise to the Board of Directors (BOD) for the tax calculation.
- Ensure accuracy of the Group Cash Flow, including in securing a bridging loan or financing if needed.
- Able to meet timeframe and schedule for reporting submission.
- Efficiently manage company Cash Flow and Working Capital.
- To ensure Company does not file incorrect tax returns and be fined for late tax submissions.
- To submit and perform analysis of consolidated P&L results against budget and forecast targets and prior your results.
- Summarize key risk and opportunities and make recommendations.
Requirements:
•
Bachelor’s Degree in Accounting, Finance, or related field (MBA or CPA/ACCA/CA preferred).
•
Minimum 10 years of progressive financial leadership experience, including at least 8 years at a senior level and experience in real estate/property development.
•
Proven experience in IPO preparation and successful listing process is essential.
•
Strong knowledge of Malaysian financial regulations, SC/Bursa listing requirements, and MFRS/IFRS standards.
•
Excellent leadership, analytical, and strategic thinking skills.
•
High level of integrity and dependability with a strong sense of urgency and results-orientation.
•
Experience working with private equity or venture capital stakeholders.
•
Prior experience with post-IPO transition and listed entity financial operations.
Proficient in both Mandarin and English
